Jiwar Toolbox Terms of Use
These terms govern installing and using the Jiwar Toolbox browser extension, including the Union Units Exporter, which saves the unit and owner data Mullak shows you for your union to your Jiwar account. The Toolbox is an independent Jiwar product, not affiliated with REGA or the Mullak platform.
Jiwar Toolbox Terms of Use
DRAFT — PENDING LEGAL REVIEW. This document is an internal working draft of the terms of use of the Jiwar Toolbox browser extension, prepared for bundling in the extension and for publication on the Jiwar website. It has not been reviewed or approved by qualified Saudi legal counsel and does not yet constitute binding contractual terms. Do not publish, distribute, or rely upon this text until counsel has reviewed and signed off on it.
Effective date: 16 October 2026 Last updated: 16 October 2026 Version: 1.1
1. Acceptance and relationship with the Jiwar Terms and Privacy Policy
1.1 Parties and acceptance
These Jiwar Toolbox Terms of Use (the "Toolbox Terms") form a binding agreement between you and Jiwar Digital Solutions Company, a company registered in the Kingdom of Saudi Arabia with Unified National Number (UNN) 7050481188 and VAT registration number 311084426300003, whose address is 3389 Al Qashashiyah, Al Nada District, Riyadh 13317, Kingdom of Saudi Arabia ("Jiwar", "we", "us", "our"). They govern your installation and use of the Toolbox and of every Tool it contains.
You accept the Toolbox Terms by confirming the acknowledgements set out in section 1.3 and selecting the acceptance button in the Toolbox. If you do not agree, you must not use the Toolbox, and you may uninstall it at any time.
Where you accept the Toolbox Terms on behalf of a Union, you represent that you are duly authorised to bind it, and "you" refers to the Union as well as to you personally.
1.2 Relationship with the Jiwar Terms of Use and Privacy Policy
Use of the Toolbox requires a Jiwar Account. The Jiwar Terms of Use (the "Jiwar Terms") and the Jiwar Privacy Policy (the "Privacy Policy") continue to apply to your Jiwar Account and to your use of the Platform, and are incorporated into the Toolbox Terms by reference. The Toolbox Terms supplement them with provisions specific to the Toolbox.
In the event of any inconsistency concerning the Toolbox, Export Data, or the Registry, the Toolbox Terms prevail; in all other respects, the Jiwar Terms and the Privacy Policy prevail. Section 8.9 explains how the Privacy Policy applies to Export Data.
1.3 Acknowledgements given on acceptance
Before accepting, you are asked to confirm the following three acknowledgements. Each is a representation or undertaking given by you, and each is given effect by the clauses indicated:
- Authority — "I confirm I am the union's chairman or its authorised representative, and I am entitled to view and export its data on Mullak." This acknowledgement is governed by sections 5.2 to 5.5.
- Purpose — "I will use the exported data only to set up my union on Jiwar and keep its unit and ownership records up to date, and will not share it or use it for any other purpose." This acknowledgement is governed by section 4 and section 7.
- Terms — "I have read and agree to the Jiwar Toolbox Terms of Use." This acknowledgement constitutes your acceptance under section 1.1 of the Toolbox Terms as a whole, including the documents incorporated by section 1.2.
1.4 Electronic acceptance and acceptance record
In accordance with the Saudi Electronic Transactions Law, your electronic acceptance — given after signing in to your Jiwar Account with a one-time passcode — has the same legal validity and enforceability as a handwritten signature.
We keep a record of each acceptance comprising: the version of the Toolbox Terms and a cryptographic fingerprint (SHA-256) of the exact text displayed to you; the language in which it was displayed; the acknowledgements you confirmed; the Toolbox version; the date and time; your browser's user-agent string; and a truncated form of your IP address limited to its network prefix.
2. Definitions
- Toolbox — the "Jiwar Toolbox" (صندوق أدوات جوار) browser extension published by Jiwar, including its interfaces, its updates, and the Tools it contains.
- Tool — a function made available within the Toolbox. At the date of the Toolbox Terms, the Toolbox contains one Tool, the Union Units Exporter (مُصدِّر وحدات الجمعية), and references to "the Tool" mean that Tool unless stated otherwise.
- Mullak — the electronic platform for owners' associations known as "Mullak" (منصة ملاك), available at mullak-services.rega.gov.sa.
- REGA — the General Authority for Real Estate (الهيئة العامة للعقار) of the Kingdom of Saudi Arabia.
- Nafath — the National Single Sign-On service (النفاذ الوطني) through which users sign in to Mullak.
- Union — an owners' association (جمعية الملاك) of a jointly owned property, registered on Mullak; once set up on the Platform, it is the "Union" (Owners' Union) within the meaning of the Jiwar Terms.
- Authorised Representative — the chairman of a Union, or a person duly authorised under the Union's governing documents and the applicable REGA framework to act for the Union in viewing and exporting its data on Mullak.
- Export Data — the data of a Union's units and owners that the Tool captures from Mullak as described in section 6, including the personal data described in section 8.1.
- Draft — Export Data assembled and held temporarily by the Toolbox in your browser, as described in section 6.6.
- Registry — the facility within your Jiwar Account in which the Tool saves Export Data, as described in section 9; each set of Export Data saved there for one Union is an "Export".
- Downloaded File — a CSV or JSON file containing Export Data that you choose to save to your device.
- Jiwar Account — your personal account on the Platform, accessed with your mobile number and a one-time passcode.
- Platform — has the meaning given in the Jiwar Terms.
- PDPL — the Personal Data Protection Law issued by Royal Decree No. M/19, and its Implementing Regulations.
3. Independence from REGA and Mullak
3.1 No affiliation or endorsement
Jiwar and the Toolbox are not affiliated with, endorsed by, sponsored by, or operated by REGA or the Mullak platform, nor by the operator of Nafath. The Toolbox is an independent product of Jiwar. Neither REGA nor the operator of Mullak has reviewed or approved the Toolbox, and neither bears any responsibility for it. Nothing in the Toolbox, the Toolbox Terms, or our communications states or implies otherwise.
3.2 Names and trade marks
"Mullak", "ملاك", "REGA", "الهيئة العامة للعقار", "Nafath", "النفاذ الوطني", "Chrome", and their related names and logos are names or trade marks of their respective owners. We use them only to identify the services with which the Toolbox is used, and claim no right in them.
3.3 Your relationship with Mullak
Your use of Mullak, including your Mullak account and your sign-in through Nafath, is governed solely by the terms and policies of Mullak and of REGA, to which Jiwar is not a party. Questions and requests concerning Mullak itself must be addressed to Mullak.
4. Permitted purpose
4.1 The Permitted Purpose
You may use the Tool only to export the data of a Union of which you are an Authorised Representative, and only to set up that Union on the Platform and keep its unit and ownership records on the Platform up to date (the "Permitted Purpose"). This section and section 7 give effect to the "Purpose" acknowledgement in section 1.3.
4.2 No other use or sharing
You must not use, disclose, sell, or retain Export Data or any Downloaded File for any other purpose. You must not share them with any other person, other than by saving them to the Registry and importing them into the Platform through the Toolbox or the Platform, or where disclosure is required by law or by a competent authority.
4.3 Jiwar's use of Export Data
Jiwar uses Export Data only to store it in the Registry, display it to you, import it into your Union on the Platform at your request, and delete it, as described in sections 8 and 9. We do not use Export Data for marketing, profiling, analytics, or any purpose of our own, and we do not sell it or disclose it to any third party, other than to our hosting and infrastructure providers acting on our instructions, or where required by law.
5. Your authority and warranties
5.1 Eligibility
To use the Toolbox you must be at least 18 years of age, possess full legal capacity under Saudi law, and hold a Jiwar Account that is active and not suspended.
5.2 Authority to export
You represent and warrant that, each time you use the Tool, you are an Authorised Representative of the Union whose data you export, and that you are entitled to view and export that data on Mullak. If your authority ends or is suspended, you must immediately stop using the Tool for that Union and delete its Exports and Downloaded Files. This section gives effect to the "Authority" acknowledgement in section 1.3.
5.3 Lawful basis and notice to owners
You represent and warrant that the Union has a lawful basis under the PDPL to process its owners' personal data for the Permitted Purpose, including by saving it to the Registry and importing it into the Platform, and that the Union has informed, or will inform, its owners of that processing as the PDPL requires.
5.4 Compliance with Mullak's terms
You are responsible for ensuring that your use of the Tool complies with the terms of use and policies of Mullak and of REGA that apply to you. If those terms prohibit or restrict such use, you must not use the Tool.
5.5 Reliance and verification
Jiwar relies on the representations in this section and is not obliged to verify your authority or the internal governance of any Union. We may nevertheless request evidence of your authority, and may suspend your use of the Tool or the Registry while your authority is in doubt.
6. How the Toolbox works
6.1 Where the Toolbox runs
The Tool's scripts run only on pages of the Mullak website (https://mullak-services.rega.gov.sa), including Mullak pages that are already open when the Toolbox is installed or updated, and do not run on any other website. The Tool appears on Mullak only after you switch it on in the Toolbox, and you may switch it off at any time; while it is switched off, no Export Data leaves the Mullak page and the Tool sends no request to Mullak. The Toolbox does not read the content of other websites or your browsing history, sends data to no one other than Jiwar's servers, and sends no request to Mullak's servers other than the single request described in section 6.3.
6.2 Signing in to Jiwar
You sign in to the Toolbox with your Jiwar Account on Jiwar's own sign-in page, which your browser opens in a separate window. At the end of that process the Toolbox receives a single-use authorisation code, which it exchanges for a session with Jiwar. The session is held in storage reserved to the Toolbox, which websites and other extensions cannot access, and is deleted when you sign out of the Toolbox.
6.3 What the Tool reads and requests
When you open your Union's units page on Mullak (the Union's properties), Mullak's own page requests the list of the units of the Union's building and their owners from Mullak's servers and displays it to you, sometimes one page at a time. The Tool reads only the responses to that request (the Mullak service providing the units information of a building), received in your own signed-in session. To recognise that request, the Tool checks the address and method of each request that Mullak's page makes, and it does not read the headers, body or response of any other request, or keep or send anything about it. The Tool does not read Mullak's cookies or stored data, and it does not obtain any data that Mullak does not already make available to you in your session.
Apart from that response, the Tool reads the text of the Mullak page only to locate the controls it highlights under section 6.4 and to suggest the Union's name from the page heading. Of that text, only the suggested name, which you may edit, is kept.
Where Mullak's page receives that list one page at a time, the Tool may send one request to Mullak for that building's complete units list: the same request that Mullak's page makes, without the paging, sent from your own browser within the Mullak page using your own Mullak session, at most once per building each time the page is loaded. To make that request, the Tool uses the session data (including any authorisation header) that Mullak's page attaches to its own request; that data is used only for that request, is kept only in the temporary memory of the open Mullak page until the request is made (and for no longer than ten minutes), is never sent to Jiwar or to anyone else, and is not stored. The Tool sends no other request to Mullak. If Mullak does not respond, or its response cannot be used, the Tool does not repeat the request by itself; selecting "Retry" reloads the page, and Mullak's own page then requests the data again within your session.
6.4 Guidance, and what the Tool never does
The Tool guides you through Mullak by highlighting, step by step, the control you should select next — for example «الجمعيات», then «جمعيتي», then «عقارات الجمعية» — and the decision to select it remains yours. The Tool never:
- Asks for, reads, records, or transmits your Mullak or Nafath user name, password, one-time codes, or other sign-in credentials; you sign in to Mullak yourself, and Jiwar never sees that process;
- Clicks, navigates, fills in fields, or submits anything on Mullak on your behalf;
- Sends any request to Mullak other than the single request described in section 6.3, whether on its own initiative or at your request, and it never repeats that request when you select the "Retry" described in section 6.3;
- Alters any data on Mullak or the way Mullak operates;
- Sends your Mullak session tokens, authorisation headers, or cookies to Jiwar or to anyone else, stores them, or reads them for any purpose other than the single request described in section 6.3.
6.5 Before acceptance and while signed out
Unless you are signed in to the Toolbox, have accepted the current version of the Toolbox Terms, and the Tool is enabled and switched on, no Export Data leaves the Mullak page and the Tool sends no request to Mullak. During that time the Tool may indicate that units data has been detected, and may keep the most recent response for each building, and the session data needed for the request described in section 6.3 (for no longer than ten minutes), in the temporary memory of the open Mullak page so that you need not reload it; that memory is discarded when the page is closed or reloaded, and at once when you switch the Tool off.
6.6 Drafts on your device
Export Data captured for a Union is assembled into a Draft held in the Toolbox's local storage in your browser. A Draft is deleted automatically no later than seven (7) days after it was last changed or saved, and earlier if you delete it, sign out of the Toolbox, or uninstall the Toolbox. Anyone with access to your browser profile may be able to access Drafts; you must therefore use the Toolbox only on a device and browser profile under your control, and never on a shared or public computer.
6.7 Automatic saving to the Registry
While you are signed in and have accepted the current version of the Toolbox Terms, each Draft is saved automatically to the Registry shortly after each change, over an encrypted connection. If saving fails, the Toolbox retries automatically and shows the status of the save. Section 9 sets out the provisions governing the Registry.
6.8 Downloaded Files
You may at any time save a Draft to your device as a CSV file, suitable for spreadsheet programs, or as a JSON file, suitable for upload to the Platform. Downloaded Files are created within your browser, and Jiwar does not receive a copy of them. Section 8.6 sets out your responsibilities for Downloaded Files.
6.9 Guidance updates and remote settings
To keep the Tool in step with changes to Mullak, the Toolbox may receive from Jiwar's servers updated guidance steps in the form of data, together with settings that enable or disable a Tool or the Registry, or that require you to install an update. We use those settings only to follow changes that Mullak makes to its pages and to the address of the service described in section 6.3, and never to make the Tool read any other information. The Toolbox does not download or execute code from remote sources; its software changes only through updates distributed through your browser's extension store.
6.10 No tracking
The Toolbox contains no advertising, analytics, or tracking components, and does not collect information about your browsing.
7. Prohibited uses
You must not do any of the following, or permit any other person to do so:
- Export the data of any Union of which you are not an Authorised Representative, even where Mullak displays it to you;
- Use Export Data or Downloaded Files for sale, marketing, advertising, solicitation, profiling, credit or background checks, or any purpose other than the Permitted Purpose;
- Harvest Mullak data in bulk, systematically, or by automated means, including by scripting, automating, or repeatedly triggering the Tool;
- Circumvent, disable, or interfere with any security, access control, rate limit, or other technical measure of Mullak, Nafath, the Toolbox, or the Platform, or use the Tool with another person's Mullak account or Nafath identity;
- Share, publish, transfer, or upload Export Data or Downloaded Files to any person or service, other than importing them into the Platform for the Permitted Purpose;
- Alter Export Data in order to submit false or misleading unit or ownership data to the Platform;
- Copy, modify, adapt, translate, reverse engineer, decompile, or disassemble the Toolbox, or create derivative works of it, except to the extent that applicable law expressly permits despite this restriction;
- Distribute, sell, rent, sublicense, or republish the Toolbox, or offer a modified version of it;
- Use the Toolbox in breach of the Anti-Cyber Crime Law, the PDPL, or any other applicable law, or in any manner that may damage, overload, or impair Mullak or the Platform;
- Represent, expressly or by implication, that the Toolbox or Jiwar is affiliated with or endorsed by REGA or Mullak.
A breach of this section is a material breach of the Toolbox Terms. We may take the action described in section 16.2, and may refer the matter to the competent authorities where the law requires.
8. Personal data
8.1 Categories of data
Export Data contains the following categories of data, many of which are personal data of the Union's owners:
- Owner names;
- National ID and Iqama numbers;
- Dates of birth;
- Mobile telephone numbers;
- Ownership shares and owned areas, and each owner's ownership and registration status as recorded on Mullak;
- Title deed data, including deed type, number, area, description, and issue date, and city, district, land, and plan numbers;
- Unit data, including unit numbers and cancellation status, and Mullak's identifiers for the Union, its buildings, and its units;
- Any other information that Mullak includes in the same response, which the Tool keeps unchanged.
8.2 Roles under the PDPL
For Export Data, the Union is the controller, acting through you, and Jiwar acts as processor on the Union's behalf in storing Export Data in the Registry and importing it into the Platform. The Toolbox Terms constitute the Union's documented instructions to Jiwar for that processing. Jiwar does not process Drafts or Downloaded Files, which remain on your device and under your control.
8.3 Our commitments as processor
As processor, Jiwar will:
- Process Export Data only as described in sections 4.3 and 9, and on the instructions you give on behalf of the Union through the Toolbox or the Platform;
- Bind its personnel to confidentiality, and not access the contents of Exports except where strictly necessary to resolve a technical fault or security incident or to comply with the law;
- Apply the security measures described in section 8.4;
- Engage sub-processors only for hosting and infrastructure within the Kingdom, under written obligations no less protective than those in this section;
- Notify you without undue delay after becoming aware of a personal data breach affecting Exports, and assist the Union in meeting its obligations under the PDPL, including any notification to the Saudi Data and Artificial Intelligence Authority (SDAIA) or to affected owners;
- Assist the Union in responding to requests by owners to exercise their rights under section 8.8;
- Delete Export Data at the end of the retention period in section 8.5, or earlier on your instruction.
8.4 Location and security
Exports are stored on infrastructure located in the Kingdom of Saudi Arabia. The contents of each Export are encrypted at rest using authenticated encryption (AES-256-GCM) with keys kept separately from the database, in addition to encryption in transit using TLS 1.2 or above. The information needed to list your Exports — the Union name you set, Mullak's identifiers for the Union and its buildings, building names, counts of units and owners, and dates — is stored without that additional layer of encryption, and is covered by the security measures described in the Privacy Policy. Our audit records of operations on Exports contain identifiers and counts only, and never their contents.
8.5 Retention and deletion
Each Export is deleted automatically at the end of whichever of the following periods ends first: thirty (30) days from the last time it was saved or updated, or seven (7) days from its import into your Union. You may delete an Export at any time from the Toolbox or from your Jiwar Account on the web, and the deletion is immediate and permanent. Closing your Jiwar Account deletes all of your Exports.
Residual copies of deleted Exports, which remain encrypted as described in section 8.4, may persist in our backups for a limited period under our routine backup cycle, currently not exceeding fourteen (14) days, after which they are overwritten. If a backup has to be restored, we repeat the deletion of every Export that had been deleted or had expired.
8.6 Downloaded Files
Downloaded Files are not encrypted and contain the full personal data described in section 8.1. Once saved to your device they are outside Jiwar's control, and you and the Union alone are responsible for them. You must keep them secure, must not share them (section 4.2), and must delete them securely once the Union has been set up on the Platform or they are no longer needed for the Permitted Purpose, and in any event when your authority ends. Jiwar accepts no responsibility for any Downloaded File or for any loss or misuse of its contents.
8.7 Personal data about you
Jiwar processes, as controller and in accordance with the Privacy Policy, your Jiwar Account data, the data of your Toolbox session, the acceptance records described in section 1.4, and technical records of operations on your Exports (identifiers, counts, and times only). We process this data to provide the Toolbox, to secure it, and to evidence your acceptance of the Toolbox Terms. Acceptance records are kept for as long as your Jiwar Account exists. The Toolbox also keeps your settings and a copy of your acceptance status in its local storage in your browser.
8.8 Owners' rights under the PDPL
Owners whose personal data is included in Export Data have the rights granted by the PDPL, including the rights to be informed, to access their data, to obtain a copy of it, to have it corrected, and to have it destroyed. As controller, the Union is responsible for responding to those requests. If we receive such a request concerning an Export, we will refer it to you on behalf of the Union and assist you in responding, and we may delete the Export where that is necessary to comply with the law. Corrections to the substance of Mullak data must be made on Mullak or, after import, on the Platform. Your own rights in respect of your personal data are set out in the Privacy Policy.
8.9 Relationship with the Privacy Policy
The Privacy Policy states that national ID and Iqama numbers are held on the Platform as salted cryptographic hashes. The Registry is a limited and temporary exception to that statement: so that Export Data can be imported accurately, the Registry stores owners' identifiers, including national ID and Iqama numbers, in encrypted rather than hashed form, for the Permitted Purpose only, and only for as long as needed to import them into your Union — at the latest until the Export expires under section 8.5, unless you delete it sooner. Once Export Data has been imported into a Union on the Platform, the resulting records are Platform data governed by the Jiwar Terms and the Privacy Policy, and are no longer governed by this section 8.
9. The Registry
9.1 Automatic saving
Each Draft is saved as a single Export, which is updated, rather than duplicated, as you capture further buildings. Saving requires that you are signed in and have accepted the current version of the Toolbox Terms. If the Registry is unreachable or disabled, your Drafts remain on your device and Downloaded Files remain available to you.
9.2 Viewing and deleting Exports
You can view your Exports — with the Union name, the counts of buildings, units, and owners, the dates of capture, and the date of expiry — and delete them, both in the Toolbox and in your Jiwar Account on the web. Exports are personal to your Jiwar Account: they are not visible to other users, including other members of the Union, unless and until you import them into the Union.
9.3 Importing into your Union
When setting up your Union on the Platform, you may select one of your Exports, and Jiwar will import it on its servers without Export Data passing through your browser again. You may import an Export only into a Union in which you hold an administrative role on the Platform. Importing creates the Union's unit and ownership records on the Platform and may create pending invitations for owners whose mobile numbers are included, in accordance with the Jiwar Terms. You are responsible for reviewing Export Data before importing it. Once imported, an Export is kept for no more than seven (7) days, so that you can review the result of the import, and is then deleted automatically under section 8.5; you may delete it sooner.
9.4 Limits and nature of the Registry
The Registry is subject to technical limits, such as the number of active Exports and the number of buildings and units in, and the size of, each Export; the Toolbox notifies you when a limit is reached, and we may change those limits. The Registry is a temporary transfer facility, not an archive or a backup service, and you must not rely on it to keep Export Data.
10. Accuracy of Export Data
Export Data is as provided by Mullak at the time of capture. Jiwar does not verify, correct, or complete Export Data, does not compare it with official registries, and does not adjudicate ownership. The Tool captures only the buildings you open, and you are responsible for ensuring that all of the Union's buildings have been captured and that Export Data has been reviewed before import. Export Data is not evidence of title, and once imported it is subject to section 6 of the Jiwar Terms.
11. Availability and changes to Mullak
The Tool depends on Mullak, which is operated by third parties outside our control. Mullak may change its pages, data, or services, restrict access to them, or become unavailable at any time, and the Tool may then stop working in whole or in part, capture incomplete data, or display inaccurate guidance. We will endeavour to adapt the Tool to such changes, but we do not warrant that the Tool will remain compatible with Mullak or be available at any particular time.
We may suspend, modify, or withdraw the Toolbox, any Tool, or the Registry at any time, including through the remote settings described in section 6.9, and may require you to install an update before you continue to use the Toolbox.
12. Licence and intellectual property
12.1 Licence
Subject to your compliance with the Toolbox Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable, royalty-free licence to install and use the Toolbox on browsers under your control, solely for the Permitted Purpose. No other rights are granted.
12.2 Ownership
The Toolbox, including its software, source code, interfaces, design, guidance content, and the "Jiwar" / "جوار" names and logos, is owned by Jiwar Digital Solutions Company or its licensors and is protected under Saudi intellectual property laws and international treaties. You may not use our trade marks without prior written consent.
12.3 Third-party components
The Toolbox includes open-source components owned by third parties, including typefaces, which are licensed under their own licences as listed in the notices file included in the Toolbox. Those licences govern the components concerned and prevail over the Toolbox Terms to the extent of any inconsistency.
12.4 Fees
The Toolbox is provided free of charge. Your use of the Platform after import is subject to the subscription provisions of the Jiwar Terms. We will not charge for any Tool without prior notice and your express agreement.
12.5 Feedback
Any feedback or suggestions you provide about the Toolbox may be used by us without restriction or obligation.
13. Disclaimers
To the maximum extent permitted by Saudi law, the Toolbox, its Tools, and the Registry are provided "as is" and "as available", and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
We specifically make no warranty as to:
- The accuracy, completeness, or currency of Export Data, or its conformity with official records;
- The continued compatibility of the Tool with Mullak, or the availability of Mullak or Nafath;
- Whether your use of the Tool is permitted by the terms of Mullak, or whether it may lead to any restriction of your Mullak account;
- The consequences of any use of a Downloaded File;
- The uninterrupted or error-free operation of the Toolbox.
14. Limitation of liability
To the maximum extent permitted by the laws of the Kingdom of Saudi Arabia:
- Jiwar shall not be liable for indirect, incidental, special, consequential, or punitive loss, nor for loss of profit, revenue, business, goodwill, data, or anticipated savings, however arising.
- Jiwar shall not be liable for any loss arising from the acts or omissions of REGA, the operator of Mullak, or the operator of Nafath; from any change to, restriction of, or unavailability of Mullak; from any restriction of your Mullak account; or from any Downloaded File after it has been saved to your device.
- Jiwar's aggregate liability arising out of or in connection with the Toolbox Terms and your use of the Toolbox, whether in contract, tort, or otherwise, shall not exceed SAR 1,000, the Toolbox being provided free of charge.
Nothing in the Toolbox Terms excludes or limits liability that cannot lawfully be excluded or limited under Saudi law, including liability for fraud, for death or personal injury caused by our gross negligence or wilful misconduct, or under the PDPL to the extent that it cannot be limited.
15. Indemnity
You agree to indemnify and hold harmless Jiwar, its affiliates, officers, employees, and agents against any claim, liability, loss, damage, cost, or expense (including reasonable legal fees) arising from:
- Your breach of the Toolbox Terms, including the representations and warranties in section 5;
- The export of the data of any Union of which you are not an Authorised Representative;
- Any use, disclosure, or loss of Export Data or Downloaded Files in breach of the Toolbox Terms or the PDPL;
- Your breach of the terms and policies of Mullak or of REGA;
- Any claim by an owner, a Union, REGA, the operator of Mullak, or any other third party arising from your use of the Tool.
16. Suspension, termination, and uninstallation
16.1 By you
You may stop using the Toolbox at any time, sign out of it, or uninstall it from your browser's extension settings. You may delete your Exports at any time as described in section 9.2.
16.2 By us
We may suspend or terminate your access to the Toolbox, any Tool, or the Registry, in whole or in part, and end your Toolbox sessions, with immediate effect where:
- You materially breach the Toolbox Terms, in particular section 5 or section 7;
- We reasonably suspect an unauthorised export or a misuse of Export Data;
- We are required to do so by a competent authority;
- Continued operation of the Tool may conflict with the requirements of REGA or of the operator of Mullak;
- Continued provision would expose owners, Jiwar, or other users to legal or security risk.
Where circumstances permit, we will give notice and an opportunity to import or delete your Exports.
16.3 Effect
When you uninstall the Toolbox, your browser deletes the data the Toolbox stores locally, including your Drafts, your Toolbox session, and your settings, and any Draft that was neither saved nor downloaded is lost. Signing out of the Toolbox deletes your Drafts and your session, after warning you of any unsaved Draft. Neither uninstalling nor signing out deletes your Exports, which remain subject to section 8.5 and may be deleted at any time from your Jiwar Account. If your access is terminated, your Exports are deleted no later than the end of the retention period. You remain responsible for deleting your Downloaded Files under section 8.6.
Sections 4.2, 7, 8.6, 10, 13, 14, 15, 18, and 19, and any provision that by its nature is intended to survive, survive termination.
17. Changes to these Toolbox Terms
We may amend the Toolbox Terms to reflect changes in the Toolbox, in Mullak, or in our legal obligations. Each amended version bears a new version number and effective date, and the current version is always available in the Toolbox and on our website.
When a new version takes effect, you must accept it expressly in the Toolbox before you can continue to use the Tool or save to the Registry, and continued use is not possible without that acceptance. Until you accept it, you may still view and delete your existing Exports. If you do not accept a new version, you must stop using the Toolbox, and you may uninstall it. Amendments do not apply retroactively to processing carried out before their effective date.
We may also publish supplemental terms for a new Tool, which you will be asked to accept before first using that Tool.
18. General
- Entire agreement — the Toolbox Terms, together with the Jiwar Terms and the Privacy Policy, constitute the entire agreement between you and Jiwar in relation to the Toolbox.
- Severability — if any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed, and the remaining provisions continue in full force.
- No waiver — a failure to enforce a provision is not a waiver of the right to enforce it later.
- Assignment — you may not assign the Toolbox Terms without our written consent. We may assign them to an affiliate or successor on notice.
- Notices — we may give notice through the Toolbox, through the Platform, by SMS to your registered number, or by email. You may give notice by email to support@jiwarcom.com or to our registered address in Riyadh.
- Contact — questions about the Toolbox or the Toolbox Terms may be sent to support@jiwarcom.com.
- Language — the Toolbox Terms are published in Arabic and English. In the event of any inconsistency, the Arabic version prevails.
19. Governing law and dispute resolution
The Toolbox Terms and any dispute or claim arising out of or in connection with them, including non-contractual disputes, are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia.
The parties will first attempt to resolve any dispute amicably through good-faith discussions for a period of thirty (30) days from written notice of the dispute.
If the dispute is not resolved, it shall be submitted to the exclusive jurisdiction of the competent courts and judicial committees of the Kingdom of Saudi Arabia, sitting in Riyadh, without prejudice to the jurisdiction of any specialised committee or authority having mandatory competence over the subject matter — including SDAIA in relation to personal data and REGA in relation to owners' associations and real estate matters.
Nothing in this section prevents either party from seeking urgent injunctive or precautionary relief from a competent court.
